Independent Contractor Agreement

Effective: January 1, 2026

This Independent Contractor Agreement ("Agreement") is between the individual registering as a contractor ("Contractor", "you") and Nexoria Enterprise DBA Jobono ("Jobono"). By creating a contractor account or accepting any opportunity through the platform, you agree to this Agreement.

1. Independent Contractor Status

You are an independent contractor. You are not an employee, agent, partner, joint venturer, or franchisee of Jobono or Nexoria Enterprise. Nothing in this Agreement creates an employment relationship. You are free to accept or decline any opportunity, set your own schedule within the posted opportunity window, and provide services to other businesses, clients, competitors, and platforms.

2. No Guarantee of Work

Jobono does not guarantee any minimum number of opportunities, hours, earnings, or future engagements. Opportunities are made available by client businesses and are not assignments from Jobono.

3. Manner and Means of Performance

You determine the manner and means by which you perform accepted services, subject to the lawful safety requirements and scope of work posted by the client business. Jobono does not supervise, direct, train, evaluate performance for employment purposes, or discipline contractors.

4. Tools, Expenses, and Transportation

Unless the client business has agreed in writing to provide specific equipment or reimburse specific expenses, you are responsible for your own tools, equipment, transportation, and business expenses.

5. Taxes

You are solely responsible for all federal, state, and local taxes on amounts you receive through the platform. Jobono does not withhold employment taxes from contractor payouts. Jobono may issue a Form 1099-NEC or other applicable tax form when required by law. See our Contractor Tax Acknowledgment and W-9 and 1099 Policy.

6. Insurance

You are responsible for maintaining your own insurance appropriate to the services you provide, except where coverage is required to be provided by the client business or by law. See our Insurance Disclosure.

7. Compliance with Law

You agree to comply with all applicable laws, including labor, tax, immigration, and licensing laws, and to maintain any licenses or certifications required for the services you accept.

8. Termination

Either party may terminate this Agreement at any time. Termination does not affect obligations relating to opportunities already accepted or completed.
